Terms and Conditions of Use for HeroCAD

1. Introduction
1.1. These Terms and Conditions ("Terms") govern your use of the HeroCAD platform ("the Platform"), a service provided by HeroCAD Ltd. ("we", "us", "our"), whose registered office is at Bromfield Chambers, 38 Radford Street, Stone, England, ST15 8DA. By registering an account, you agree to be bound by these Terms.
1.2. The Platform is a matchmaking service that connects dental laboratories and practices ("Labs") with freelance CAD designers and technicians ("Designers") for the purpose of completing digital dental design jobs. HeroCAD Ltd. is not a party to any contract formed between a Lab and a Designer, nor are we an employment agency. We are a neutral venue.
2. Definitions
- "Platform": The HeroCAD website, software, and related services.
- "Lab": A user who posts design Jobs.
- "Designer": A freelance user who accepts and completes Jobs.
- "Job": A design task posted by a Lab, including an STL file, description, price, and deadline.
- "Active Job": A Job that has been accepted by a Designer, with payment held in escrow.
- "Design File": The digital file (e.g., STL, CAD) delivered by the Designer.
- "Revision": A request by a Lab for modifications to a delivered Design File.
3. User Accounts and Warranties
3.1. To use the Platform, you must register for an account.
3.2. By registering, you warrant and represent that:
a) If you are a Lab: You are a legitimate dental laboratory or practice, authorized to undertake dental design work, and you comply with all relevant regulations in your jurisdiction.
b) If you are a Designer: You possess the necessary skill, experience, and software to professionally complete the dental CAD design Jobs you accept.
c) All information provided during registration is accurate and truthful.
d) You will maintain the confidentiality of your login credentials.
3.3. Skill Verification: HeroCAD Ltd. reserves the right to:
- Request examples of previous work or other evidence of skill.
- Use performance data from the Platform (e.g., job completion rate, client ratings) to assess a user's competency.
- Suspend or terminate the accounts of users who demonstrably lack the necessary skills or who consistently receive poor feedback.
4. The Matchmaking Process
4.1. Job Posting: Labs post Jobs by selecting relevant tags, uploading STL files, and setting a price and deadline. The Lab is solely responsible for the accuracy and completeness of the Job details.
4.2. Matching & Acceptance: Upon posting, the Platform sends notifications to Designers whose profiles match the Job tags. Jobs are accepted on a first-come, first-served basis.
a) A Designer can either accept the Job at the listed price or submit a counter-offer.
b) The Job becomes an "Active Job" only when a Designer's offer (initial or counter) is confirmed by the Lab.
4.3. Escrow Payment: Once a Job is Active, the Lab's payment method is charged the total amount (Job price + Service Fee), and the full Job price is held securely in escrow by our payment processor, Stripe.
5. Job Workflow, Delivery, and Revisions
5.1. Design Work: Upon an Active Job, the Designer gains download access to the STL file and begins work.
5.2. In-App Messaging & No Circumvention: All communication regarding a Job must occur through the Platform's messaging system. To protect the integrity of the Platform and prevent fee circumvention, users are strictly prohibited from exchanging or soliciting direct contact information (such as phone numbers, email addresses, social media handles, or external website links) within the messaging system or at any point before a Job is completed and paid for through the Platform. Any attempt to circumvent the Platform's payment system to avoid paying the Service Fee is a material breach of these Terms.
5.3. Delivery & Revisions: The Designer uploads the completed Design File to the Platform. The Lab then has 24 hours from the time of upload to:
a) Request Revisions: The Lab is entitled to 2 rounds of minor revisions included in the Job price. The 24-hour period resets with each new file delivery from the Designer.
b) Accept Job: Once satisfied, the Lab marks the Job as complete.
5.4. Automatic Completion: If the Lab takes no action within the 24-hour review period, the Job will be automatically marked as complete.
5.5. Payout: Upon Job completion (manual or automatic), the funds in escrow (the full Job price) are automatically released to the Designer.
6. Data Protection and Patient Anonymity (GDPR/UK GDPR)
6.1. Roles: For any personal data processed through the Platform, the Lab is the "Data Controller" and HeroCAD Ltd. and the Designer are "Data Processors".
6.2. Absolute Anonymity Mandate: The Lab is strictly prohibited from uploading any files or providing any Job descriptions that contain Patient Identifiable Information (PII) or Protected Health Information (PHI). This includes, but is not limited to, patient names, addresses, NHS numbers, or any other identifying details. STL files and Job descriptions must be fully anonymised before upload. The Lab bears full legal and financial responsibility for any breach of this clause.
6.3. GDPR Compliance: All users agree to comply with all applicable data protection laws, including the UK GDPR. Our separate Privacy Policy details our data processing activities.
7. Financial Terms
7.1. Platform Access: Basic access to the Platform is provided free of charge. Premium subscription plans with additional benefits are available for a fee.
7.2. Service Fee: For each Job completed through the Platform, HeroCAD Ltd. charges a service fee ("Service Fee") of 10% of the agreed Job price. This fee is added to the Job price and is payable in full by the Lab.
- Example: For a Job with an agreed price of £70, the Lab will be charged a total of £77 (£70 Job price + £7 Service Fee).
7.3. Payment Processing: All payments are processed via Stripe. HeroCAD Ltd. is responsible for paying the associated Stripe processing fees out of the Service Fee collected.
7.4. Refunds: Payments held in escrow for Active Jobs will only be refunded under specific circumstances, to be determined at our sole discretion, following the Revision and dispute resolution process.
8. Intellectual Property
8.1. The Lab warrants it has the necessary rights to the uploaded STL files.
8.2. Upon full payment for a completed Job, the Designer assigns all intellectual property rights for the final Design File to the Lab.
9. Limitation of Liability and Indemnification
9.1. No Clinical Liability: HeroCAD Ltd. is not liable for the quality, accuracy, or clinical suitability of any Design File. The use of any Design File for manufacturing or clinical purposes is the sole responsibility of the Lab and the treating dentist.
9.2. Liability Cap: To the fullest extent permitted by law, our total liability to any user shall not exceed the total commission fees we have earned from that user in the previous 12 months.
9.3. Indemnification: You agree to indemnify and hold harmless HeroCAD Ltd. from any claims, damages, or losses arising from your use of the Platform, your breach of these Terms, or your violation of any data protection laws.
10. Governing Law and Contact
10.1. These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
